These Terms & Conditions ("Terms") govern the use of the CoolRides website and software platform (the "Service"), operated by CoolRides ("CoolRides," "we," "us"). By creating an account or using the Service, you agree to these Terms.
The short version: CoolRides is management software for independent transportation companies. We do not provide, arrange, or operate transportation. Every ride booked or managed through the Service is provided solely by the transportation company you booked it with, and any issue with a ride is between you and that company.
1. What CoolRides is (and is not)
CoolRides provides software that transportation companies ("Operators") use to manage their own businesses: reservations, dispatch, billing, payments, receipts, and customer booking portals. CoolRides is a software provider only. We are not a transportation carrier, transportation network company, broker, dispatcher, or provider of transportation services of any kind, and nothing in the Service is an offer by CoolRides to provide transportation.
2. Who these Terms apply to
- Operators — transportation companies that subscribe to and use the Service to run their business.
- Riders and booking contacts — people who book, manage, or pay for rides with an Operator through that Operator's branded portal or receipts.
3. Transportation services; no liability for rides
All transportation services are provided by Operators as independent businesses. Operators are not employees, agents, partners, or contractors of CoolRides, and CoolRides does not supervise, direct, or control any Operator, driver, or vehicle.
Each Operator is solely responsible for its transportation services, including vehicle condition and safety, driver conduct and qualifications, licensing, permits, insurance, pricing, pickups and drop-offs, delays, cancellations, lost property, and compliance with all laws applicable to its operations. To the maximum extent permitted by law, CoolRides has no liability arising out of or related to any transportation service, including any injury, death, property damage, delay, or other loss connected with a ride. Any claim relating to a ride must be brought against the Operator that provided it.
4. Accounts
You must provide accurate information when creating an account and keep your credentials secure. Operators are responsible for the actions of the staff they authorize on their workspace. Rider and contact portal access uses one-time login codes sent to the email address or phone number an Operator has on file for you.
5. Payments
Card payments are processed by Stripe through each Operator's own Stripe account. CoolRides does not hold funds and is not a party to the payment transaction between a rider or company and an Operator. Fares, charges, refunds, and billing disputes are set and resolved by the Operator. Payment processing is additionally subject to Stripe's terms.
6. Text messages and email
The Service sends transactional messages on behalf of Operators — for example driver dispatch texts, receipt links, and one-time login codes. By providing a phone number, you consent to receive these transactional text messages. Message frequency varies with your activity; message and data rates may apply. Reply STOP to opt out of texts or HELP for help. Opting out of texts may limit features that depend on them (such as login codes or text receipts).
7. Operator responsibilities
Operators agree to:
- use the Service only for a lawfully operated transportation business, and maintain all required licenses, permits, and insurance;
- obtain any consents required to add riders' and contacts' information to the Service and to message them;
- set fares honestly and handle refunds and customer disputes in good faith;
- not use the Service to send unsolicited marketing messages.
8. Your data
Operators own the business data they store in the Service (riders, trips, rates, and related records). We process that data to provide the Service, as described in our Privacy Policy. Each Operator's data is logically isolated from every other Operator's.
9. Acceptable use
You may not misuse the Service: no unauthorized access, probing, or disruption; no scraping other Operators' data; no unlawful, fraudulent, or abusive use; and no reselling the Service without our written agreement.
10. Availability and changes
We work to keep the Service available and secure, but it is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We may modify or discontinue features with reasonable notice to Operators.
11. Limitation of liability
To the maximum extent permitted by law: (a) CoolRides is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and (b) CoolRides' total liability for all claims arising out of or relating to the Service is limited to the amounts the Operator paid us for the Service in the twelve (12) months before the event giving rise to the claim (or one hundred U.S. dollars, if you have not paid us). Nothing in these Terms limits liability that cannot be limited by law.
12. Indemnification
Operators will defend and indemnify CoolRides against claims arising out of their transportation services, their content and data, or their breach of these Terms — including claims by riders, drivers, or authorities relating to a ride.
13. Termination
Operators may stop using the Service at any time. We may suspend or terminate access for material breach of these Terms, unlawful use, or non-payment. Upon termination, an Operator may request an export of its data within thirty (30) days.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to Operators (for example by email or in-app notice), and the "Last updated" date above will change. Continued use after changes take effect constitutes acceptance.
15. Governing law
These Terms are governed by the laws of the United States and the state in which CoolRides is organized, without regard to conflict-of-law rules. Courts located in that state have exclusive jurisdiction over disputes arising from these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.
